Terms of Service

Disclosure: Hexment is an unregistered individual freelance service provider operating from Gorakhpur, Uttar Pradesh, India. Services are provided by an individual, not a registered company. These terms constitute a basic service agreement between you (the client) and Hexment.
By contacting Hexment or engaging our services, you agree to the following terms. These terms are governed by the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable statutes.
1. Nature of Services
Hexment provides freelance software development services including web development, mobile app development, DevOps setup, and AI integrations. The exact scope, deliverables, timeline, and payment terms for each engagement will be agreed upon before work begins — either verbally (confirmed over email) or through a written Statement of Work (SOW).
We are not a registered company, LLP, or GST-registered entity. Invoices issued by Hexment will be issued under the individual's name as an unregistered service provider. No GST will be charged unless registration is obtained in the future.
2. Payment Terms
- For fixed-price projects: 50% advance before work begins, 50% on delivery.
- For hourly engagements: invoiced weekly or bi-weekly as agreed.
- Accepted payment methods: UPI, NEFT/IMPS bank transfer.
- Payments made are non-refundable once work on that milestone has commenced, except in cases of non-delivery on our part.
3. Intellectual Property
Upon full payment, all custom code and deliverables created specifically for your project become your property. Hexment retains no ownership rights to your custom codebase.
We may use open-source libraries, frameworks, and tools in the course of development. Those remain subject to their respective licenses. We will disclose significant third-party dependencies.
Hexment may mention the project in a portfolio context (e.g., "built a SaaS app for a client in X industry") unless you request otherwise in writing.
4. Confidentiality
We treat all project information, business logic, and technical details shared by clients as confidential. We will not disclose your proprietary information to third parties. If you require a formal NDA, we are happy to sign one before discussions begin.
5. Limitation of Liability
Hexment will deliver work with reasonable skill and care. However, as an unregistered individual service provider, our total liability for any claim arising from a project is limited to the amount paid by you for that specific project.
We are not liable for indirect, incidental, or consequential damages including loss of revenue, data loss, or business interruption. Clients are advised to maintain backups of their own data and systems.
6. Delays and Scope Changes
Project timelines may be affected by scope changes, delayed client feedback, or unforeseen technical complexity. We will communicate any delays promptly. Changes to agreed scope will be discussed and repriced accordingly before implementation.
7. Termination
Either party may terminate the engagement with reasonable written notice (email). Work completed up to the point of termination will be invoiced. Advance payments for unstarted milestones will be refunded minus any work already begun.
8. Governing Law & Jurisdiction
These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts in Gorakhpur, Uttar Pradesh, India. We encourage resolving disputes amicably first — most issues can be settled through direct communication.
